1. Our agreement
Maddox Plugins is provided by ChartTwo LLC, operated by Maddox Grayson, Florida, United States (“Company”, “we”, “us”). These Terms cover maddoxplugins.com, Maddox Plugins Central (“Central”), our audio plugins and related account services (together, the “Services”). Questions and legal notices can be sent to maddoxgraysonmusic@gmail.com.
By accepting these Terms, you agree to them on your own behalf or for an organisation you are authorised to represent. The product description and purchase terms presented with your order also apply. Specific order terms control an inconsistency about that order, subject to your mandatory legal rights. Our Privacy Policy explains how personal information is handled.
2. Accounts and younger users
Account holders must be at least 18 and legally able to enter this agreement. A musician aged 13–17 may use the Services through an account owned and managed by a parent or legal guardian, under that adult’s supervision and where permitted by local law. The adult accepts these Terms, controls purchases and is responsible for the supervised use. The Services are not intended for children under 13.
Use accurate account information, protect access to your chosen sign-in provider, and tell us promptly about suspected misuse. Do not sell, transfer or share account access with unrelated users. A guardian’s supervised use described above is permitted. Business use requires an authorised account holder and any licences needed for the people using the software.
3. Software licence and ownership
For the products and period covered by an active subscription, trial, purchase or authorised grant, we give you a limited, non-exclusive, non-transferable licence to install and use the available software for personal or professional audio work. A standard account supports up to three active registered computers, unless your order states otherwise. Device replacement limits also apply; contact support if you need help replacing a registered computer.
The software is licensed, not sold. We and our licensors retain rights in the software, artwork, names and other supplied materials. A subscription does not promise perpetual access or every future product. An individual purchase or grant includes only the products, duration and upgrade rights stated in that offer; any perpetual licence must be expressly identified as such.
- Do not redistribute, sublicense, sell or rent the software or provide it as a service to others without permission.
- Do not bypass licensing, misuse trials, gain unauthorised access, introduce malicious code or interfere with the Services.
- Do not copy, modify or reverse engineer the software except as we permit or applicable law allows. Rights under applicable open-source licences remain in place.
4. Activation and existing sessions
Opening a new plugin instance requires an internet connection, Central running and signed in on that computer, and current access to the plugin. Reopening a DAW project can create new instances and require authorisation again. A plugin that cannot authorise may remain bypassed without its processing. Check activation before recording or rendering.
Once an instance is authorised, it keeps its authorisation for that instance’s lifetime in the current DAW session. It does not stop solely because Central closes, the connection drops or the access period ends during that session. Closing or recreating the instance requires a fresh check. This continuity does not extend the subscription or permit new instances after access ends.
5. Trials and promotional access
Where offered, an individual plugin trial lasts three days from activation. Eligibility and the end date are shown in Central; trial limits apply per account and computer. Creating another account does not reset eligibility. A promotional or complimentary grant may have a different scope or expiry.
Starting a per-plugin trial does not by itself start a paid subscription or authorise a charge. A paid order requires a separate checkout. Any different offer that converts into paid service must clearly state its price, timing and cancellation terms and receive the consent required by law.
6. Prices, automatic renewal and recovery
Subscriptions renew automatically at the price and billing frequency shown at checkout until cancelled. Review the amount, currency, applicable taxes, billing interval and included access before paying. By completing a recurring order, you authorise the disclosed charges and lawful retries of an unsuccessful payment through our payment provider, Stripe.
A monthly plan bills by calendar month; an annual plan bills by calendar year. Recovery of an eligible missed payment for a full recurring period normally starts a new paid period from the successful payment date: one calendar month for a monthly plan or one calendar year for an annual plan. Prorated plan changes and other invoice adjustments follow their stated invoice and order terms.
An existing cancellation date takes priority and is not postponed by payment recovery. If that date falls before the new period would end, access ends on the earlier cancellation date and no later renewal is authorised by the recovery. A recovered payment settles the invoice due; it does not by itself undo cancellation or guarantee an additional full period. The billing portal shows the dates. Contact support about continuing access or any refund or adjustment required for the circumstances.
A failed, overdue, refunded or reversed payment can prevent new authorisations based on that subscription until valid paid access is confirmed. Already-authorised session continuity remains as described above. A cancelled subscription is not automatically restored by paying an old balance; contact maddoxgraysonmusic@gmail.com if you need help with a recovered payment or remaining access.
We will give notice of price changes and renewals where required by law. A renewal price change applies prospectively, with any notice or consent the law requires; it does not change the price of a period already paid for.
7. Cancelling and refunds
Cancel future renewal through Manage subscription on the website or Manage billing in Central. Online cancellation is available through the billing portal. Check its confirmation and effective date. If the controls are unavailable, contact maddoxgraysonmusic@gmail.com; you do not have to reinstall the app to request cancellation.
Cancellation normally ends access at the end of the paid period and prevents renewal after that date. It does not automatically refund the current period or cancel amounts validly owed before cancellation. Signing out, uninstalling, deleting local files or removing a computer does not cancel billing.
Unless your order includes a separate refund offer or applicable law requires otherwise, we do not provide automatic refunds or prorated credits for unused time after cancellation. Contact support about an incorrect charge, a product that does not work as described or a refund request. A full or partial refund can affect new authorisations based on the refunded payment; we will explain any remaining access or adjustment. A refund does not itself cancel future renewals unless cancellation is also confirmed.
Nothing here removes mandatory consumer guarantees, withdrawal rights or remedies. Where the law provides cancellation, repair, replacement, a price reduction or a refund, those rights apply. Downloading software, starting a trial or accepting these Terms alone does not waive a statutory withdrawal right that requires a separate express agreement.
8. Compatibility, installation and updates
Check the published system requirements, processor support, plugin format and DAW compatibility before installing or buying. Use a trial where available to check your setup. A preview, announced feature or format is not a promise that a compatible release is available.
Central can check for and download its own updates automatically and install a verified update when it next opens or when you choose to restart. Plugin updates are managed through Central. Installation may require closing audio applications or approving macOS permissions. Keep backups of projects and settings before changing software.
We may update or retire versions for security, compatibility or service reasons and may require a supported version for future authorisations. We do not guarantee compatibility with every future operating system, host or third-party update. Material changes to paid Services remain subject to the order, required notice and any remedies required by law.
9. Your music and project files
Your recordings, compositions and DAW projects remain yours. We claim no ownership of them merely because you use the Services. You may release audio made with our plugins commercially, provided you have the necessary rights in the material you use.
Audio processing runs locally. Licensing and activation do not upload your audio or DAW projects. You are responsible for rights in your source material and for maintaining suitable backups. If you choose to send files to support, share only what is needed for the request.
10. Availability, restrictions and termination
New authorisations and other online features depend on your connection and the availability of the Services and their providers. We use reasonable care in providing the Services but do not promise uninterrupted availability or error-free software.
We may restrict or terminate access where reasonably necessary for a material breach of these Terms, nonpayment, fraud, a security risk or a legal requirement. A restriction can prevent future authorisations or access to online features; it does not remotely deactivate an instance already authorised under the session-continuity rule above. Where appropriate and lawful, we will give notice and a reasonable opportunity to resolve the issue. We may act immediately where delay would cause harm. Contact maddoxgraysonmusic@gmail.com to challenge a restriction you believe is mistaken.
If we permanently discontinue a paid Service before the end of a prepaid term, we will provide any notice, refund of the unused portion or other remedy required by applicable law. Ending access does not change ownership of your music or remove accrued payment obligations or legal rights.
11. Warranties and limitations
To the extent permitted by law, and except for our express commitments and any mandatory warranties, the Services are provided “as is” and “as available”. We do not promise a particular artistic, commercial or technical result, or that every issue can be corrected. You remain responsible for testing your setup and protecting important work.
To the extent permitted by law, the Company is not liable for indirect, incidental, special or consequential loss, including lost profits, business opportunities or data arising from use of the Services. The Company’s total liability arising from the Services is limited to the greater of US$100 and the fees you paid us for the affected Services during the 12 months before the event giving rise to the claim.
These exclusions and limits do not apply to fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence where liability cannot be limited, or any liability or consumer remedy the law does not permit us to exclude or restrict. If a limitation is not lawful in your circumstances, it applies only to the lawful extent.
12. Governing law and disputes
Florida law governs this agreement, without applying conflict-of-law rules, except that mandatory protections under the law of your usual residence remain available to you as a consumer. Courts with proper jurisdiction may hear a dispute, including any court you are entitled to use under mandatory consumer law.
Please contact maddoxgraysonmusic@gmail.com with the issue and relevant order information so we can try to resolve it. Contacting support does not shorten a legal deadline or prevent you from using an available remedy.
13. Changes and other terms
We will identify updated Terms by their version and date and give notice of material changes as required by law. Where acceptance is required, we will request it before applying the changes to you. Changes do not retrospectively remove accrued rights or the benefit of a paid order.
If a provision is unenforceable, the remainder continues to apply where lawful. A failure to enforce a provision is not a waiver. You may not transfer your account or licence without permission; we may transfer the Services in a business reorganisation or sale only subject to applicable law and preservation of your contractual rights. Provisions that by their nature must continue, including ownership, accrued payment obligations and lawful liability limits, survive termination.
